Debt and Equity Fundraising is critical to the lifeline of each business.  These transactions need an experienced and pragmatic legal team to ensure that the requirements of the Debt or Equity Fundraiser are accommodated while not compromising the ability of the business to run its normal day to day business.

As the world economy ebbs and flows, insolvency ability and experience remains as important today as it was in the 1980’s. Our team pioneered ground-breaking law acting in the examination of an Irish Group with UK subsidiaries which obtained protection before the Irish Courts. The UK Courts gave recognition to a letter of request from the Irish Courts to strike out insolvency proceedings against the UK subsidiaries resulting in a successful rescue of the group.

The team is experienced in secured/mezzanine lending transactions including the reorganisation of the distress debt of a development company of over €400,000,000. If traditional banking is not available, we advise both lenders and borrowers on short and medium term mezzanine finance.

Our practice handles all aspects of admission to these markets. From the initial decision to IPO to subsequent acquisitions and disposal. Currently acting for 6 of the Irish Incorporated Companies registered on the AIM Market, being circa 23% of such companies.

At the commencement of every transaction it is essential to have a structure which works from a legal, tax and business perspective.  Working closely with our client and other advisors, we ensure that the structure adopted makes sense legally and commercially.

First we weigh up with our client the likely chances of success and the cost implications. Having done so, if litigation is the preferred solution, we then manage and drive the litigation in a focused and timely manner.

As a Corporate Commercial Practice in Ireland, it is essential to understand the acquisition, development and disposal of Commercial Property. Our team has, over 32 years, advised in many such transactions including multi tenanted developments for both retail and office uses.
